End-User License Agreement

Effective 19 August 2026 QuickBooks Online integration

This End-User License Agreement (the “Agreement”) governs use of the internal QuickBooks Online integration (the “Application”) made available by The Quesadilla Company (“we”, “us”). By installing, configuring, or using the Application, you agree to these terms.

Internal use only

The Application is a private, internal tool. It is not distributed, licensed, sold, or otherwise made available to the public or to any third party. The only authorized users are our employees and contractors acting on our behalf, and the only QuickBooks Online company it may be connected to is our own.

License grant

Subject to this Agreement, we grant authorized users a limited, non-exclusive, non-transferable, revocable license to use the Application solely for our internal bookkeeping and accounting operations. No other rights are granted.

Restrictions

Authorized users may not:

Distribute, sublicense, sell, rent, or otherwise transfer the Application to any third party
Connect the Application to a QuickBooks Online company we do not own or control
Use the Application to access, extract, or process data belonging to any other organization
Share OAuth credentials, client secrets, or refresh tokens outside the authorized user group
Use the Application for any unlawful purpose, or in violation of Intuit’s terms of service

Third-party services

The Application depends on the QuickBooks Online API operated by Intuit Inc. and, when used together with an AI assistant, on services operated by Anthropic PBC. Use of the Application is additionally subject to the terms and policies of those providers. We are not responsible for the availability, accuracy, or conduct of third-party services, and changes made by those providers may affect or disable the Application without notice.

Accounting data and professional judgment

The Application reads from and, when so configured, writes to live accounting records. Output produced by or through the Application — including any figure, report, summary, or suggested entry — is not accounting, tax, audit, or legal advice, and may be incomplete or incorrect. Authorized users remain responsible for reviewing any change before it is relied upon or filed, and for confirming the accuracy of the books with a qualified professional where appropriate.

No warranty

The Application is provided “as is” and “as available”, without warranty of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Application will be uninterrupted, error-free, or that it will preserve the integrity of any record.

Limitation of liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or accounting records, arising out of or relating to the Application, regardless of the theory of liability and even if advised of the possibility of such damages.

Term and termination

This Agreement remains in effect until terminated. It terminates automatically upon any breach of its terms, and we may revoke the license at any time. Access can be ended immediately by revoking the Application’s authorization within QuickBooks Online. Sections 05 through 07 survive termination.

Governing law

This Agreement is governed by the laws of the jurisdiction in which we are established, without regard to its conflict of law provisions.
